- Sweepstakes Period and Pick ‘Em Periods. The Minnesota Timberwolves Pick ‘Em Sweepstakes (“Sweepstakes”) presented by Kia will start at 12:00am Central Time (“CT”) on or about November 18, 2023 and end at 11:59pm CT on May 17, 2024 (“Sweepstakes Period”); provided, however, that the Sweepstakes Period will be divided into seven (7) entry selection months during the Sweepstakes Period, which are identified as follows and each referred to individually as a “Pick ‘Em Period” or collectively as “Pick ‘Em Periods” and are subject to change depending upon changes to the NBA schedule:
- #1: Sweepstakes Period begins at 12:00am CT on November 18, 2023 and ends at 11:59pm CT on November 30, 2023;
- #2: Sweepstakes Period begins at 12:00am CT on December 1, 2023 and ends at 11:59pm CT on December 31, 2023;
- #3: Sweepstakes Period begins at 12:00am CT on January 1, 2024 and ends at 11:59pm CT on January 31, 2024;
- #4: Sweepstakes Period begins at 12:00am CT on February 1, 2024 and ends at 11:59pm CT on February 28, 2024;
- #5: Sweepstakes Period begins at 12:00am CT on March 1, 2024 and ends at 11:59pm CT on March 31, 2024;
- #6: Sweepstakes Period begins at 12:00am CT on April 1, 2024 and ends at 11:59pm CT on April 14, 2024; and
- #7: Sweepstakes Period begins at 12:00am CT on April 20, 2024 and ends at 11:59pm CT on May 19, 2024.
- Eligibility. The Sweepstakes is open only to individuals who, as of the time/date of entry, are legal residents of the state of Minnesota or legally reside within a one hundred fifty (150)-mile radius of the Target Center, located at 600 N. 1st Ave., Minneapolis, MN 55403, and are eighteen (18) years of age or older (each, an “Entrant”). Each Entrant may be required to provide proof of legal residency within the state of Minnesota/radius outlined above to determine eligibility and as a condition of prize award. Employees, officers, representatives, agents, members and directors of the Minnesota Timberwolves (“Timberwolves” or “Sponsor”), Kia America, Inc. (“Kia”), NBA Properties, Inc., the National Basketball Association (“NBA”), and its member teams, NBA Properties, Inc, and each of their respective parent companies, subsidiaries, affiliates, agents and their advertising, sweepstakes and production agencies (collectively with Sponsor, Kia and NBA, “Sweepstakes Entities”), and each of such employees’, officers’, representatives’, agents’, members’ and directors’ immediate family members and/or those living in the same household (whether legally related or not) are not eligible to enter. Sweepstakes is void where prohibited by law. By participating in the Sweepstakes, each Entrant unconditionally accepts and agrees to comply with and abide by these “Official Rules” and the decisions of Sponsor, including the interpretation of these Official Rules and its exercise of discretion, which will be final and binding in all respects. Kia and its parent company, affiliates and subsidiaries are not responsible for the promotion, administration or execution of this Sweepstakes.
- How to Enter. To enter the Sweepstakes during the Sweepstakes Period, eligible Entrants are asked to: (i) download the free Timberwolves mobile application (the “App”) which is available for iPhone and Android mobile devices; (ii) sign in or create an account for free (and agree to any terms or privacy policy available on the App); (iii) provide contact information as requested; and (iv) participate in the Minnesota Timberwolves Pick ‘Em Game located within the App by predicting answers to questions when prompted within the App before the start of every Timberwolves basketball game occurring during the Pick ‘Em Periods (“Entries”). The objective of the Sweepstakes is to correctly predict the answers of as many questions as possible for each Timberwolves game during each respective Pick ‘Em Period and to finish (or tie) within the top ten (10) scores of all Entrants who participate during a Pick ‘Em Period based on total points earned in order to earn an entry into the Sweepstakes drawing. Entrants will accumulate points based on all correct picks or answers as detailed in the App. All point scores are subject to eligibility verification. The number of predictions an Entrant will be asked to make for each Pick ‘Em Period will vary depending on the game and number of games to be played during the Pick ‘Em Period. Predictions for a given Pick ‘Em Period may only be modified prior to the start of the first eligible game in the Pick ‘Em Period. Each Entrant must submit all of their picks and answers prior to the start of each game for the Pick ‘Em Period in order to be eligible to win the prize for that Pick ‘Em Period. Details regarding the start and end dates and times of each Pick ‘Em Period, instructions and prizes will be announced and detailed on the App. Predictions may only be submitted during the Pick ‘Em Period and during the dates and times specified for each Pick ‘Em Period. Predictions may only be submitted through the entry process available at the App. Predictions that do not follow these Official Rules will be not be accepted or will be disqualified.
- No Purchase or Payment Necessary. By playing the Pick ‘Em Game and providing Entrant’s contact information when prompted, Entrant will be automatically entered into this Sweepstakes, and warrants that he/she/they have read and agree to abide by these Official Rules and that he/she/they are not prohibited from participating in the Sweepstakes. Registration is free and no purchase or payment is necessary to participate at any time in the Sweepstakes. All Entries must be received before the eligible game in the Pick ‘Em Period to be eligible to receive a Sweepstakes Entry (defined below) for that Pick ‘Em Period’s prize. Proof of entry submission will not be deemed to be proof of receipt by Sweepstakes Entities. Although the Sweepstakes is free to enter, standard data charges may be incurred if you use your mobile device to enter the Sweepstakes via the App. Limit of one (1) entry per person/email address per Timberwolves game that is held during each respective Pick ‘Em Period; no person may enter more than once by using different email addresses and no email addresses can be used to submit more than one entry. Sweepstakes Entities are not responsible for lost, misdirected, late, incomplete, illegible or unintelligible entries or for inaccurate entry information, whether caused by a participant or by any of the equipment or programming associated with or utilized in this Sweepstakes, or by any technical or human errors that may occur in the processing of entries. Incomplete, illegible, corrupted, damaged, destroyed, forged, false, lost, late, misdirected, deceptive, duplicate, mechanically reproduced or automated entries, or entries otherwise not in compliance with the Official Rules are not permitted and will be deemed void in Sponsor’s sole and absolute discretion. Entries generated by a script, computer programs, macro, programmed, robotic or other automated means are void and may be disqualified. Entries submitted by Entrants who do not meet the eligibility requirements (including all requirements with respect to age and residence) are void. Entries containing inappropriate material or language, including profanity, are disqualified. All Entries become the property of the Sweepstakes Entities upon receipt and will not be acknowledged or returned.
In the event of a dispute over the identity of an Entrant, entry will be deemed submitted by the registered account holder of the email address associated with the entry for the domain associated with the submitted address provided that person is eligible. Winners may be required to show proof of being the registered account holder. Registered account holder is defined as the person assigned to an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses. In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible. Sponsor’s designated database clock will be the official timekeeper for this Sweepstakes. Those who do not follow all of the instructions, provide the required information in their entry form, or abide by these Official Rules or other instructions of Sponsor may be disqualified. Sponsor may run multiple campaigns, contests, sweepstakes or other promotions simultaneously. Entry into one (1) campaign, contest or sweepstakes does not constitute entry into any other. - Winner Selection. At the end of each Timberwolves game during the respective Pick ‘Em Period, scores for each Entrant will be tallied as detailed in the App and Entrants who finish (or tie) within the top ten (10) scores of all Entrants based on total points will each earn one (1) entry (“Sweepstakes Entry”) to the specified prize drawing during that respective Pick ‘Em Period. Entrants are able to earn multiple Sweepstakes Entries within a respective Pick ‘Em Period as there will be multiple Timberwolves games during the Pick ‘Em Period. Within two (2) weeks from the end of each respective Pick ‘Em Period there will be be one (1) potential winner chosen at random from all eligible Sweepstakes Entries received during that specific Pick ‘Em Period. There will be a total of seven (7) winners selected throughout the Sweepstakes Period (one (1) for each Pick ‘Em Period). Any and all federal, state and local taxes, and any other costs and expenses associated with acceptance and/or use of prizes not specifically provided for in these Official Rules are solely the Entrant’s responsibility.
Sweepstakes Entities are not responsible if Sweepstakes cannot take place, or if any prize cannot be awarded due to delays, interruptions or failures due to acts of God, war, natural disasters, weather, acts or threats of terrorism, strikes, lockouts, labor disputes, work stoppages, fire, acts of government, or other events outside of the reasonable control of Sweepstakes Entities. If, for any reason Sweepstakes is not capable of running as planned, including, without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sweepstakes Entities, which, in their sole determination, corrupts or affects the administration, security, fairness, integrity or proper conduct/play of this Sweepstakes, Sweepstakes Entities reserve the right, in its sole discretion, to cancel, terminate, modify, or suspend Sweepstakes or any part of the Sweepstakes. Sponsor additionally reserves the right, in its sole and absolute discretion to disqualify any entrant found to be, or suspected of: (a) tampering with the entry process or the operation of the Sweepstakes; or (b) acting in violation of these Official Rules. In the event Sponsor is prevented from continuing with the Sweepstakes by any unforeseen circumstances, including, without limitation, any game(s) cancellation or delay(s), the absence of game(s) statistics, a pandemic (e.g., COVID-19) and/or any other circumstances beyond Sponsor’s control, Sponsor may, in its sole discretion, make material changes to this Sweepstakes, including, without limitation, canceling the Sweepstakes, removing canceled/postponed games from the Sweepstakes or Pick ‘Em Period, and/or concluding the Sweepstakes early. If such changes are necessary, they will be noted in these Official Rules, on the App and/or other Sweepstakes communications. - Selection Notification. There will be a total of seven (7) winners over the course of the Sweepstakes Period. Each Entrant that is randomly selected as the winner for a respective Pick ‘Em Period will be contacted by a Timberwolves staff member within three (3) weeks after the end of each Pick ‘Em Period at the contact information provided by the Entrant during the entry process, and must comply with all terms and conditions of these Official Rules (winning is contingent upon fulfilling all requirements). Each potential winner may be required to execute and return: (a) a notarized Affidavit of Eligibility; (b) a Liability Release; (c) a Publicity Release (except where prohibited by law); or (d) any other forms as provided and requested (collectively, the “Affidavit”). The Affidavit must be returned by the date and/or time indicated by Sponsor. If the potential winner cannot be contacted with five (5) business days of the first attempt to contact the winner, if the potential winner fails to return the Affidavit within the specified time, if any prize or prize notification is returned as undeliverable, if the potential winner is found to be ineligible or if the potential winner does not comply with the Official Rules, then the potential winner may be disqualified and an alternate winner selected. If, for any reason, more bona fide winners come forward seeking to claim prizes in excess of the number of each type of prize set forth in these Official Rules, the winners, or remaining winners, as the case may be, of the advertised number of prizes available may be selected in a random drawing from among all persons making purportedly valid claims for such prizes. Inclusion in such drawing shall be each Entrant’s sole and exclusive remedy under such circumstances.
- Prize. There will be one (1) winner randomly selected upon the conclusion of each of the seven (7) Pick ‘Em Period from all Sweepstakes Entries received during that Pick ‘Em Period. Each winner randomly selected from each of the seven (7) Pick ‘Em Periods will receive one thousand dollars ($1,000). After receipt of a required W-9 from the winner, the prize will be delivered to each winner as a single payment made via check or ACH, at the winner’s discretion.
The approximate retail value (“ARV”) of each Pick ‘Em Period prize is one thousand dollars ($1,000). The ARV for all prizes awarded in this Sweepstakes is seven thousand dollars ($7,000). Odds of winning will depend on the total number of eligible entries received, and an Entrant’s ability to correctly predict the answers to the App’s questions for each eligible Timberwolves game during a Pick ‘Em Period and the total number of eligible Sweepstakes Entries received in each Pick ‘Em Period.
The prizes and all components must be accepted as awarded, and are awarded “AS IS” without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). Prize winners will be solely responsible for all federal, state, local taxes and for any other fees or costs associated with the prizes they receive, regardless of whether they, in whole or in part, are used. Prizes, if legitimately claimed, will be awarded. The Sweepstakes Entities are not responsible for and will not replace any lost, mutilated or stolen prizes or any prize that is undeliverable or does not reach a winner because of an incorrect or changed address, email address, or any other contact information. If a winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited, and the Sweepstakes Entities will have no further obligation with respect to that prize or portion of the prize. No more than the stated prizes will be awarded. Unclaimed prizes will be forfeited. The Sweepstakes Entities are not responsible for and winner will not receive the difference, in any, between the actual value of the prizes at the time of award and the stated ARV in these Official Rules or in any Sweepstakes-related correspondence or material. Limit of one (1) prize per person for each Pick ‘Em Period. No substitution, assignment, refund or transfer of a prize is permitted, except by Sweepstakes Entities, who reserve the right to substitute a prize (or a component thereof) with another prize (or component thereof) of greater or equal value, including cash, if a prize is not available for any reason as determined by a Sweepstakes Entity in its sole discretion. The ARV of the prizes is based on available information provided to Sponsor and the value of any prize awarded to a winner may be reported for tax purposes as required by law. The winners may be required to provide Sponsor with a valid social security number before the prizes will be awarded for tax reporting purposes. An IRS Form 1099 will be issued in the names of winners. - Administration. By entering, Entrant agrees to follow the official rules and hold harmless and indemnify Sweepstakes Entities and each of their respective parents, subsidiaries, affiliates, directors, officer, employees, successors, assigns and agents (collectively, the “Released Parties”) against liability, damages or causes of action (however names or described), with respect to or arising out of (a) Entrant’s participation in the Sweepstakes; (b) any acceptance, possession, misuse or use of any prize (including, without limitation, losses, damages or injuries to Entrant’s or any other person’s equipment or other property, or to their persons); (c) the Released Parties’ actual or alleged violation of rights of publicity or privacy, claims of defamation or portrayal in a false light or claims of infringement of intellectual property; and (d) any typographical, human or other error in the printing, offering, selection, operation or announcement of any Sweepstakes activity and/or prize. The Timberwolves and the NBA expressly reserve the right to amend, suspend or terminate this Sweepstakes at any time without prior notice or consent. Administration of this Sweepstakes is at the sole discretion of the Timberwolves and the NBA. Any questions relating to eligibility, these Official Rules or any other questions concerning this Sweepstakes will be resolved at the sole discretion of the Timberwolves and the NBA and their decisions will be final and binding with respect thereto. No requests for exchanges or cash equivalent for the prize will be considered and no substitutions will be made. ILLEGITIMATE OPERATION OF THE SWEEPSTAKES, INCLUDING ANY ATTEMPT BY A PERSON TO DAMAGE ANY WEBSITE (INCLUDING ANY SOCIAL MEDIA PLATFORM OR MOBILE APPLICATION) OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES, MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAW AND SHOULD SUCH AN ATTEMPT BE MADE, SWEEPSTAKES ENTITIES RESERVE THE RIGHT TO SEEK ALL LEGAL AND EQUITABLE REMEDIES AND DAMAGES (INCLUDING ATTORNEY’S FEES) FROM AND AGAINST ANY SUCH PERSON TO THE FULLEST EXTENT PERMITED BY LAW. THE MINNESOTA COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE SWEEPSTAKES AND THE LAWS OF THE STATE OF MINNESOTA SHALL GOVERN THE SWEEPSTAKES. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THESE COURTS.
- Publicity. Subject to applicable law, winners irrevocably grant the Sweepstakes Entities and each of their licensees, and their successors, assigns and sub-licensees the right and permission to use their name, voice, likeness and/or biographical material for advertising, promotional and/or publicity purposes in connection with the Sweepstakes, in all forms of media and by all manners (now and hereafter known), and on and in connection with related products, services, advertising and promotional materials (now known or hereafter developed), worldwide, in perpetuity, without any obligation, notice or consideration, except for the awarding of the prizes to the winners. Additionally, except where prohibited, participation in the Sweepstakes constitutes winner’s consent for the Sweepstakes Entities, including theTimberwolves and NBA Properties, Inc. and their respective parents, subsidiaries, affiliates, directors, officer, employees, and agents, to record, film, videotape and photograph the winners (“Images”). These Images will be owned by the Sweepstakes Entities. Sweepstakes Entities and each of their designees shall have the right to use, re-use, reproduce, publish, display, exhibit, distribute edit, adapt, post, stream, copy and exploit such Images, and all elements embodied therein, including any names, likenesses, address, voice, conversation, biographical and prize information and any other attributes of winners, individually or with others, in whole or in part, in conjunction with other material, in any and all media now known or hereafter devised, for the purpose of trade, advertising, promotion or on a winner’s list or any other lawful purpose, whatsoever, in perpetuity, throughout the world, without any obligation, notice or consideration, except for the awarding of the prizes to the winners.
- Limitation of Liability. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of Entrants, Sponsor or the Released Parties in connection with the Sweepstakes will be governed by and construed in accordance with the internal laws of the State of Minnesota, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.
BY ENTERING THE SWEEPSTAKES, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (D) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU. - Dispute Resolution. The parties each agree to finally settle all disputes only through arbitration; provided, however, the Sponsor shall be entitled to seek injunctive or equitable relief in the state and federal courts in Minneapolis, Minnesotaand any other court with jurisdiction over the parties. In arbitration, there is no judge or jury and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Sweepstakes shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration,” then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in Minneapolis, Minnesota. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in Minneapolis, Minnesota.
- Privacy and Use of Data. BECAUSE PERSONAL INFORMATION FROM ENTRANTS WILL BE COLLECTED BY ENTERING THIS SWEEPSTAKES, PARTICIPANTS AGREE THEY HAVE READ AND ACCEPTED the Timberwolves Privacy Policy, which can be found at http://www.nba.com/news/privacy_policy.html and is incorporated by reference and made a part of these Official Rules. By entering this Sweepstakes, Entrant authorizes Sponsor to contact participant for commercial purposes via fax, telephone or e-mail address listed on the Entrant’s entry form.
- List of Sweepstakes Winners. To receive a list of winners, send a stamped, self-addressed envelope, within sixty (60) days of expiration of the Sweepstakes Period, to: “Minnesota Timberwolves Pick ‘Em Sweepstakes Winners List,” Minnesota Timberwolves, 600 Hennepin Ave., Suite 300, Minneapolis, MN 55403. Please be sure to indicate which Sweepstakes winners list you are requesting by referencing the name of the Sweepstakes in your request.
- Severability. If any provision of these Official Rules or the Affidavit is declared invalid or unenforceable, such provision will be deemed modified to the extent necessary and possible to render it valid and enforceable, that in any event, the unenforceability or invalidity of any provision will not affect any other provision of the Official Rules or the Affidavit, and these Official Rules and Affidavit will continue in full force and effect as if such provision had not been included, or had been modified as described above, as the case may be. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes -related materials, privacy policy or terms of use on any website, social media platform or application and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.
- Social Media Disclosure. Although this Sweepstakes may be advertised on the Facebook pages, Twitter accounts, Instagram accounts, YouTube channel or other social media platforms of Sponsor, this Sweepstakes is in no way sponsored, endorsed or administered by, or associated with, Facebook, Twitter, Instagram, YouTube or other social media platforms. Entrants are providing their information to Sponsor and not to Facebook, Twitter, Instagram, YouTube or other social media platforms. The information an Entrant provides will only be used by Sponsor and its agents.
